Master Service Agreement

This Master Service Agreement ("Agreement") is entered into between tripleNERDscore LLC, doing business as Novasite ("Provider," "we," "us"), and the subscribing party ("Client," "you") as of the date of electronic acceptance.
1. Services
Provider agrees to deliver the digital services described in the Statement of Work ("SOW") corresponding to the Client's selected package tier. Services may include, but are not limited to: website design and development, web hosting, maintenance, search engine optimization, branding, social media strategy, CRM setup, mobile application development, workflow automation, and related digital services.
2. Term & Billing
2.1 Setup Fee
Client shall pay a one-time, non-refundable setup fee at the time of subscription. This fee covers the initial discovery, design, development, and launch of the deliverables described in the applicable SOW.
2.2 Monthly Subscription
Following the launch and approval of initial deliverables, Client shall be billed monthly at the rate specified in their selected package. Monthly fees cover hosting, maintenance, support, and ongoing services as described in the SOW.
2.3 Cancellation
Client may cancel their monthly subscription at any time with 30 days written notice to hello@triplenerdscore.net. Upon cancellation, Provider will deliver a full export of Client's content and data. The setup fee is non-refundable regardless of cancellation timing.
3. Client Obligations
Client agrees to provide timely feedback, content, brand assets, and access credentials as reasonably requested by Provider. Delays in Client response may result in corresponding delays in project delivery.
4. Intellectual Property
4.1 Client Content
Client retains ownership of all content, trademarks, and brand assets provided to Provider.
4.2 Deliverables
Upon full payment of the setup fee, Client owns the custom deliverables created specifically for them. Provider retains ownership of underlying frameworks, tools, and methodologies used to create the deliverables.
4.3 Portfolio Rights
Provider may reference the Client's project in marketing materials and portfolios unless Client opts out in writing.
5. Hosting & Availability
Provider will host Client's website or application on reliable infrastructure with a target uptime of 99.99%. Provider is not liable for downtime caused by force majeure events, third-party service outages, or Client actions.
6. Limitation of Liability
To the maximum extent permitted by law, Provider's total liability under this Agreement shall not exceed the total fees paid by Client in the twelve (12) months preceding the claim. Provider shall not be liable for indirect, incidental, special, consequential, or punitive damages.
7. Warranty Disclaimer
Services are provided "as is" and "as available." Provider makes no guarantees regarding specific business outcomes, search engine rankings, traffic levels, or revenue increases.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of this engagement. This obligation survives termination of the Agreement.
9. Amendments
Provider may update this Agreement with 30 days written notice. Continued use of services after the notice period constitutes acceptance of the updated terms.
10. Governing Law
This Agreement shall be governed by the laws of the Commonwealth of Pennsylvania. Any disputes shall be resolved in the courts of Allegheny County, Pennsylvania.
11. Entire Agreement
This Agreement, together with the applicable Statement of Work, constitutes the entire agreement between the parties and supersedes all prior agreements, representations, and understandings.
